(“Taxo,” “we,” “us,” or “our”) website at https://taxo.ai and all related digital properties (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

These Terms do not govern the use of Taxo’s products or services. Access to and use of our AI-powered products and services by customers is governed by separate customer agreements, including applicable Master Service Agreements, Business Associate Agreements, and related terms.

1. Acceptance of Terms

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accessing the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on the Site with a revised “Last Updated” date. Your continued use of the Site after posting of changes constitutes acceptance of the revised Terms. If you do not agree to any changes, you must discontinue use of the Site.

2. Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;

• Use the Site for any fraudulent, misleading, or deceptive purpose;

The Taxo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Taxo.ai, Inc. or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes, or for the purpose of evaluating our products and services for potential business use. This license does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content on the Site, except as incidental to normal web browsing (e.g., temporary caching by your browser).

4. User Submissions

Any information, feedback, ideas, suggestions, concepts, or other materials you voluntarily submit to us through the Site (e.g., via contact forms, demo requests, chat features, or email) (“Submissions”) will be treated as non-confidential and non-proprietary. By submitting such materials, you grant Taxo.ai, Inc. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submissions for any business purpose.

You represent and warrant that you own or control all rights in and to any Submissions you provide, and that such Submissions do not violate any third party’s rights.

5. Demo Requests and Contact Forms

The Site may allow you to request product demonstrations, submit inquiries, or subscribe to communications. By submitting a request, you consent to being contacted by Taxo representatives regarding your inquiry. Any personal data you provide through such forms is processed in accordance with our Privacy Policy.

We make no guarantees regarding response times or availability of demonstrations. Taxo reserves the right to decline any request at its sole discretion.

The Site may contain links to third-party websites, services, or content that are not owned or controlled by Taxo.ai, Inc.. We do not endorse, guarantee, or assume responsibility for the accuracy, completeness, or reliability of any third-party content. TAXO.AI, INC. DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

No information or content on the Site constitutes medical advice, legal advice, financial advice, or any other form of professional advice. Content is provided for general informational purposes only. You should consult qualified professionals before making any decisions based on information obtained from the Site.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAXO.AI, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF TAXO.AI, INC. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF TAXO.AI, INC. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Taxo.ai, Inc., its directors, officers, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your Submissions caused damage to a third party.

Your use of the Site is subject to our Privacy Policy, available at https://taxo.ai/privacy, and our Cookie Policy, available at https://taxo.ai/cookies. By using the Site, you consent to our collection, use, and disclosure of your personal data as described in those policies.

11. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and the parties hereby consent to personal jurisdiction and venue therein.

12. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, you agree to first attempt to resolve the dispute informally by contacting us at legal@taxo.ai. If the dispute is not resolved within thirty (30) days after submission of the dispute, either party may pursue formal resolution as permitted by Section 11.

13. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

No waiver by Taxo.ai, Inc. of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure of Taxo.ai, Inc. to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Taxo.ai, Inc. regarding your use of the Site, and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, relating to such subject matter.

For the avoidance of doubt, these Terms govern only your use of the Site. The use of Taxo’s products and services by customers is governed by separate agreements, which may include Master Service Agreements, Business Associate Agreements (BAAs), Service Level Agreements (SLAs), and related terms.
